Terms of Service
Last updated
Please read these terms carefully. They explain what PayNudge does, what you are responsible for, and the limits of what we promise.
1. About these terms
These Terms of Service (“Terms”) form a binding agreement between you and PayNudge, Indonesia (“we”, “us”, “PayNudge”), and govern your access to and use of the PayNudge website, web application and related services (the “Service”).
By creating an account or using the Service, you accept these Terms. If you use the Service on behalf of a company or other organisation, you confirm that you are authorised to bind it, and “you” refers to that organisation.
The Service is intended for business use by freelancers, sole traders, agencies and other businesses. You confirm that you are not using it as a consumer and that you are at least 18 years old.
2. What PayNudge is, and what it is not
PayNudge is software that helps you track unpaid invoices and prepare, schedule and send payment reminders to your own business clients, under your own name. It includes AI-assisted invoice reading and drafting, an escalation sequence, an approval queue and a late-payment interest calculator.
PayNudge is not a debt collection agency. We do not collect debts on your behalf, contact your clients in our own name, take any share of amounts recovered, or act as your agent in any dispute.
PayNudge is not a law firm and does not provide legal advice. Information about statutory interest, compensation, letters before action and similar topics is general information. You should take advice from a qualified solicitor or lawyer before relying on it in a dispute. See our Legal Disclaimer.
3. Your account
You must register with accurate information, verify your email address and keep your details up to date. You are responsible for keeping your password secure and for all activity under your account and workspace. Tell us promptly at support@paynudge.site if you suspect unauthorised access.
Workspace owners are responsible for the people they invite. Each member must have their own login; accounts may not be shared.
4. Free plan
Every workspace can use the Free plan at no charge, with the features and limits described on our pricing page. No payment card is required and the Free plan has no end date. When you reach a Free plan limit, the affected features wait until the limit resets or until you choose a paid plan; your data remains in your account and you can delete it at any time.
The Free plan is subject to fair use. We may change, limit or withdraw the features and limits of the Free plan by giving you reasonable notice by email, and we may limit Free workspaces to one per person or business or suspend a Free workspace if we reasonably suspect abuse. Because no payment is taken for the Free plan, no refunds or credits apply to it.
If a paid subscription ends, your workspace moves to the Free plan at the end of the paid period. Nothing is deleted, and features and limits of the Free plan apply from then on.
5. Subscriptions, billing and taxes
Paid plans are monthly subscriptions. Orders are processed by Polar Software Inc. (“Polar”), which acts as our reseller and Merchant of Record. When you buy a subscription, you buy it from Polar, and Polar's terms of sale apply to the purchase in addition to these Terms. Polar handles payment processing, invoicing, and the calculation and collection of sales tax, VAT or GST where applicable.
Prices are shown in US dollars and exclude applicable taxes, which are added at checkout. We may change prices for future billing periods by giving you at least 30 days' notice by email. If you do not agree, you may cancel before the change takes effect.
Automatic renewal
Subscriptions renew automatically at the end of each monthly period and Polar charges your payment method for the next period, until you cancel. If a payment fails, Polar may retry it, and we may restrict sending of reminders until the payment succeeds.
Plan changes
You can upgrade or downgrade from Settings → Billing. Downgrading never deletes your data, but features and limits of the lower plan apply from the effective date (for example, auto-send is switched off and additional members or brands are suspended).
6. Cancellation and refunds
You may cancel at any time from Settings → Billing or the Polar customer portal. Cancellation takes effect at the end of the current paid period, and you keep access until then. Fees already paid are not refunded except as set out in our Refunds & Cancellation Policy or where required by law.
7. Acceptable use
You must use the Service in line with our Acceptable Use Policy, which forms part of these Terms. In particular, you may only contact people about genuine amounts owed to you by businesses, and you must never use the Service to harass, threaten or mislead anyone.
8. Your responsibility for invoices and emails
You remain fully responsible for:
- the accuracy of every invoice, amount, due date and client detail you add, including details read by AI that you confirm;
- the content of every email, notice and letter sent to your clients through the Service, whether you approve it manually or enable auto-send;
- having a lawful basis to process your clients' contact details and to contact them, and complying with laws that apply to you, including data protection, consumer protection and debt collection rules;
- deciding whether to claim statutory interest or compensation, and whether any claim is valid under your contract and local law;
- any consequences for your client relationships.
Emails are sent showing your name as the sender, with replies directed to your email address. You authorise us to send these emails on your instruction.
9. AI-generated content
Some features use artificial intelligence to read documents and draft text. AI output can be incomplete or wrong. You must review extracted invoice data and every draft before it is sent or used. Amounts and interest figures in drafts are inserted from your data and our calculator, but you are responsible for checking them.
Letters before action are always created as drafts and are never sent automatically. See our AI Transparency notice for how AI is used.
10. Statutory interest calculations
The late-payment interest calculator and any figures in notices are provided for information only. They are based on our summary of the UK Late Payment of Commercial Debts (Interest) Act 1998 and EU Directive 2011/7/EU as implemented generally, and on reference rates we update periodically. They may not reflect your contract terms, national variations, rate changes or other circumstances. We do not guarantee that any amount is legally recoverable.
11. Availability and changes to the Service
We work to keep the Service available and secure, but we do not guarantee uninterrupted or error-free operation. We may carry out maintenance, and the Service may be affected by events outside our control, including failures of our hosting, email or AI providers.
Email delivery depends on third-party mail systems. We cannot guarantee that an email will be delivered, will not be filtered as spam, or will be read. You can see the delivery status we receive for each message in the app.
We may change or improve the Service. If we remove a material feature of your paid plan, we will tell you in advance and you may cancel.
12. Suspension
We may suspend sending, or suspend your account, if we reasonably believe you are breaching these Terms or the Acceptable Use Policy, if your use creates a security or legal risk or harms our email reputation, if payment is overdue, or if required by law. Where reasonable we will tell you first and give you a chance to fix the problem.
13. Intellectual property
We and our licensors own the Service, including its software, design and content. We grant you a limited, non-exclusive, non-transferable right to use the Service for your business during your subscription. You must not copy, resell, reverse engineer or build a competing product from the Service.
You own the content you upload and the drafts generated for you (“Customer Content”). You grant us a licence to host, process and transmit Customer Content only as needed to provide, secure and support the Service.
14. Feedback
If you send us ideas or feedback, we may use them without restriction or payment to you. We will not identify you publicly without permission.
15. Data protection
Our Privacy Policy explains how we handle personal data about you. Where we process personal data about your clients on your behalf, we act as your processor under our Data Processing Addendum, which forms part of these Terms.
16. Termination
You may stop using the Service and delete your account at any time from Settings → Account. We may terminate these Terms on 30 days' notice for any reason, or immediately for a serious or repeated breach.
On termination your right to use the Service ends. When an account is deleted we delete Customer Content from our live systems promptly, and remaining backup copies expire on our normal backup schedule. Sections that by their nature should survive termination (including responsibilities, disclaimers, limitation of liability, indemnity and governing law) survive.
17. Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available”. We make no warranty that the Service will result in any payment being made, that AI output will be accurate, or that any legal entitlement exists. Nothing in these Terms excludes rights you have that cannot be excluded by law.
18. Limitation of liability
Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
Subject to that, neither party is liable for:
- loss of profits, revenue, business, goodwill or anticipated savings;
- amounts your clients fail to pay you, or the loss of a client relationship;
- any indirect or consequential loss.
Our total liability arising out of or in connection with these Terms in any 12-month period is limited to the fees you paid for the Service in that period, or US$100 if greater.
19. Indemnity
You will indemnify us against claims, losses and reasonable costs brought by third parties (including your clients) arising from the content of emails or letters sent through your account, inaccurate invoice data, or your breach of these Terms, the Acceptable Use Policy or applicable law.
20. Governing law and disputes
These Terms and any dispute arising from them are governed by the laws of the Republic of Indonesia, and the courts of the Republic of Indonesia have exclusive jurisdiction, unless mandatory law where you are established provides otherwise. Before starting proceedings, please contact us so we can try to resolve the issue informally.
21. General
You may not transfer your rights under these Terms without our consent. We may transfer ours to a successor of our business. If any provision is found unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. These Terms, together with the policies they reference, are the entire agreement between us about the Service.
22. Changes to these terms
We may update these Terms from time to time. For material changes we will give at least 30 days' notice by email or in the app. Continuing to use the Service after the effective date means you accept the updated Terms. The date at the top shows when they last changed.
